Terms and conditions
These terms govern your use of the Flippin Tickets platform for buying tickets and managing events.
1. Introduction
Welcome to Flippin Tickets. These Terms and Conditions govern your use of the Flippin Tickets platform. By using our services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our platform.
2. Purpose
Flippin Tickets provides a platform for event organizers to list and manage events, sell tickets, and facilitate ticket validation, as well as for buyers to purchase tickets for various events.
3. Responsibilities of Flippin Tickets
a. Platform Provision: Flippin Tickets will provide a user-friendly platform for event organizers to list and manage their events, sell tickets, and facilitate ticket validation.
b. Promotion Assistance: We will assist with the promotion of events through various marketing channels.
c. Marketing Materials: Flippin Tickets will provide marketing materials and assets to event organizers for promotional purposes.
4. Responsibilities of Event Organizers
a. Accurate Event Information: Organizers must provide accurate event information, including date, time, location, and ticket pricing.
b. Promotion: Organizers are encouraged to promote, tag, or support marketing and promotional material created by Flippin Tickets through their own channels.
c. Collaboration: Organizers should collaborate with Flippin Tickets on marketing efforts to maximize event visibility and ticket sales.
d. Support: Organizers must provide necessary support and information to Flippin Tickets for ticket sales, event management, and engagement.
5. Marketing and Promotion
a. Joint Promotion: Both parties agree to jointly promote events through various marketing channels.
b. Marketing Materials: Flippin Tickets may provide marketing materials and assets to organizers for promotional purposes.
c. Leveraging Networks: Organizers are encouraged to leverage their networks and promotional resources to drive ticket sales.
6. Pricing
a. Commission: Flippin Tickets will receive a commission of about 5% for each ticket sold through our platform. This commission covers payment provider fees and marketing communications costs. The ticket buyer currently incurs this cost, but in the future, organizers may choose to cover this cost.
b. Full Ticket Price: Organizers will receive the full ticket price less the commission.
7. Ticket Availability and Refunds
a. Accurate Availability: Organizers must ensure that ticket availability and pricing are accurately reflected on the Flippin Tickets platform.
b. Refund Policies: Refund policies for event tickets shall be determined by the organizers and communicated to Flippin Tickets for implementation.
8. Terms of Payment
a. Flexible Cash Flow: Organizers can request cash outs of up to 50% of ticket sales before the event occurs.
b. Payment Schedule: Payment for ticket sales will be made by Flippin Tickets to organizers on a weekly basis or upon request, provided that the organizer gives Flippin Tickets 4 hours' notice.
c. Payment Method: Payments will be made via bank transfer to the account designated by the organizer.
d. Sales Reports: Flippin Tickets will provide detailed reports of ticket sales and revenue generated along with each payment.
e. Transparency: Flippin Tickets will ensure transparency in ticket sales, allowing organizers visibility and access to all ticket sales, revenue, and ticket holder information.
9. Release and Indemnification
Organizers agree to release, defend, indemnify, and hold harmless Flippin Tickets and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from their events, except in cases of negligence, gross negligence, willful default, or omissions by Flippin Tickets.
10. Duration and Termination
a. Commencement: This agreement commences on the effective date of the last signature and continues until terminated by either party with 14 days' written notice.
b. Material Breach: Either party may terminate this agreement for material breach if the breach is not rectified within the 14-day notice period.
c. Insolvency: Either party may terminate the agreement if the other party becomes insolvent or is under liquidation.
d. Termination for Convenience: Either party may terminate the agreement for convenience with 14 days' notice, provided all due amounts have been paid.
11. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the partnership.
12. Governing Law
a. Jurisdiction: This agreement is governed by the laws of Zimbabwe.
b. Dispute Resolution: Any disputes arising from this agreement will be under the jurisdiction of the Magistrates Court, sitting in Harare, Zimbabwe.
13. Entire Agreement
This agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings.
14. Signatures
This agreement may be executed in counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument. By using Flippin Tickets, you agree to these Terms and Conditions. Thank you for choosing our platform.
